This page states the "Terms of Use" under which user(s) (“You”/ “Your”) may use https://qjobsindia.com/ ("Website" or “Qjobs”) and/or the Mobile Application (“App”), an on-line service of Billion Careers Private Limited (“Company”) to post, search employment opportunities. The terms "You" and "User" as used herein refer to all individuals and/or entities accessing the Website/App for any reason. These Terms of Use include the Website Privacy Policy which is incorporated into these Terms of Use by reference. If ‘You’ do not accept the Terms of Use stated herein, please do not use the Website/App and its services. By using the Website/App You are providing your acceptance to be bound by these Terms of Use, including Website Privacy Policy. Users who violate these Terms may have their access and use of the Website/App suspended or terminated by the Company at its sole discretion.

1. ELIGIBILITY

You must be 18 years of age or older to visit or use the Website/App. By visiting the Website/App, You represent and warrant to the Company that You are 18 years of age or older, accepting these Terms of Use, and You have the right, authority and capacity to use the Website/App and agree to and abide by these Terms of Use. If minors wish to use the Website/App, their parents or legal guardian must acknowledge and agree to the Terms of Use. You also represent and warrant to the Company that You will use the Website/App in compliance with all the applicable laws and regulations.

2. USE OF WEBSITE/APP

The Website/App allows You, to register and apply for the jobs listed on the Website/App as a candidate free of cost or to hire the candidates as an employer subject to these Terms. The job advertisement/posting and other features of the Website/App may be used by candidates only for seeking employment and/or career information and by employers for seeking candidates as employees. The contents of the Website/App such as designs, blogs, graphics, images, video, information, logos, button icons, software, audio files and other content (collectively, "Qjobs Content") are the property of the Company. Unauthorized use of the Qjobs Content is strictly prohibited. You shall not modify the Qjobs content or reproduce, display, publicly perform, distribute, or otherwise use the Qjobs Content in any way in any other manner that infringes Company’s intellectual property rights.

3. WEBSITE/APP USE RESTRICTIONS

You shall not use Website/App in violation of any applicable law or regulation or in a manner that will infringe the copyright, trademark, trade secret or other intellectual property or proprietary rights of others or violate the privacy, publicity or other personal rights of others. You shall not host, display, upload, modify, publish, transmit, update, distribute any material on the Website/App: a) that is grossly harmful, harassing, defamatory, obscene, pornographic, invasive of another’s privacy; b) threatening, abusive or hateful or racially, ethnically objectionable, disparaging, or otherwise unlawful in any manner whatsoever; c) impersonate another person or entity; d) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of Website/App computer systems or Website/App Users, e) threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states or of public order or f) causes incitement to the commission of any cognizable offence or prevents investigation of any offence or insulting any other nation. You are also prohibited from violating or attempting to violate the security of Website/App, including, without limitation accessing or logging into a server or account which You are not authorized to access; attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization. Violations of Website/App system or network security may result in civil or criminal liability. The Company will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.

4. YOUR INFORMATION ON WEBSITE/APP

When You register with the Website/App, You will be asked to provide certain information about You (your "Information"). Please see the Website/App's Privacy Policy for further details regarding your Information. In addition to the Terms of Use and Website privacy policy applicable to Website/App, The Company will not disclose to any third party your name, address, e-mail address or telephone number without your prior consent, except to the employers for job opportunity related communications and to the extent necessary or appropriate to comply with applicable laws or in legal proceedings where such information is relevant.

You are responsible for maintaining the confidentiality of your Website/App account access login credential and for all uses of your Website/App registration and password. You are not authorized to share your login credential or other account access information with any other party, any breach thereof may lead to suspending your access to Website/App and services. You agree to immediately notify the Company of any unauthorized use of your account and login credentials.

5. WEBSITE/APP PROHIBITED USES

The Website/App shall be used only for lawful purposes by candidates seeking employment and career information and employers seeking employees.

The Company prohibits any use of Website/App: i) In violation of any applicable laws or regulations, including but not limited to data protection and privacy laws or regulations governing the collection, processing, or transfer of personal information, or in breach of Website/App privacy policy; ii) for any purpose other than as an employer seeking employees, including but not limited to using the Website/App for marketing activity to sell or promote any products or services; iii) for submitting any incomplete, false or inaccurate profile or information; iv) for seeking money, payment from the candidates; iv) to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of Website/App; v) for aggregating, copying or duplicating in any manner any of the Website/App content v) for any unlawful purpose or any illegal activity, or vi) for posting or submitting any content, resume, or posting on the Website/App that is defamatory, offensive, vulgar, obscene, threatening, abusive, hateful, racist, discriminatory or likely to cause annoyance, inconvenience, embarrassment, anxiety or could cause harassment to any person or for including any links to pornographic, indecent or sexually explicit material of any kind.

On any non-compliance to the above the Company may in its sole discretion, suspend or terminate the defaulting User's access to the website/App and or to remove or request the removal of the such offending content. The Company has the right to initiate appropriate proceedings against the defaulting Users in accordance with law.

6. USER CONTENT

You are solely responsible for your information, content, messages or other information ("User Content") that You submit, publish or display (hereinafter, "post") on the Website/App or transmit to other Users. By submitting/posting User Content to the Website/App, You automatically grant and You represent and warrant that You have the right to grant, to the Company a license to use, copy, perform, display, and distribute such User Content. You also grant the Company and its affiliates the loyalty-free, perpetual, irrevocable, sublicense able, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the User Content. You also permit any User to access, display, view, store and reproduce such User Content. Subject to the above, the owner of such User Content placed on Website/App retains any and all rights that may exist in such User Content.

Qjobs acts as an online medium for distribution and publication of User Content and has no obligation to screen Users communications or information in advance and the Company is not responsible for screening or monitoring User Content posted by Users on the Website/App. However, the Company may review and delete any User Content that, in its sole judgment, violates these Terms of Use, violates applicable law, rule or regulation, is offensive or illegal or in violation of these terms. The Company reserves the right to suspend Users and prevent their further access to the Website/App for violating the Terms of Use or applicable law, rule or regulations and further reserves the right to remove User Content which is in violation of the Terms of Use, abusive, illegal, or disruptive.

The following is prohibited User Content on the Website/App. The list below is for illustration only and is not a complete list of all prohibited User Content, which: a) is implicitly or explicitly offensive, such as User Content that engages in, endorses or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual; b) promotes or endorses false or misleading information or illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous; c) displays or links to pornographic, indecent or sexually explicit material of any kind or provides or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from minors; d) provides instructional information about illegal activities or other activities, violating someone's privacy, or e) provides or creates computer viruses or pirating any media; and solicits passwords or personal identifying information from the Users;

The Company reserves the right in its sole discretion to investigate and take legal action against anyone who engages in any illegal or prohibited conduct or otherwise violates these Terms of Use, including without limitation, removing the User Content from the Website/App and/or terminating the defaulting User's access to the Website/App and/or use Website/App services.

The Company does not represent or guarantee the truthfulness, accuracy, or reliability of User Content or any other communications posted by Users or endorse any opinions expressed by Users. You acknowledge that any reliance on material submitted by other Users will be at your own risk. The Company has no obligation to screen User Content in advance and is not responsible for screening or monitoring User Content posted by Users. If notified by a User of communications which allegedly do not conform to these Terms of Use, the the Company may in its sole discretion investigate the allegation and determine whether to take any action whether to remove or request the removal of the User Content. The Company has no liability or responsibility to Users for performance of such activities.

7. TERMS FOR EMPLOYERS

Employers accessing the Website/App are responsible for maintaining the confidentiality of their account access information and profile, as applicable on Qjobs and shall not share their account access information with any other party, temporarily or permanently, and shall be responsible for all uses of their login credentials and further agree to immediately notify the Company of any unauthorized use of their account on the Website/App. Employers are solely responsible for their content submissions/job postings on Website/App. The Company shall not to be considered as an employer with respect to Your use of Website/App and the Company shall not be responsible for any employment decisions, for whatever reason, made by any entity posting their jobs on the Website/App. Employers understand and acknowledge that if they cancel their employer account or their employer account is terminated, they will not be able to use Qjobs services. The Company does not make any representations regarding the accuracy or validity of candidates’ profile submitted on the Website or their appropriateness for evaluation by employers.

Employers shall use the Website/App in accordance with all applicable privacy and data protection laws, and further agree that they shall not further disclose any of the data received from Website/App to any third party, unless they are an authorized recruitment agency or staffing agency using the resume explicitly for employment purposes. Employers shall take appropriate physical, technical, and administrative measures to protect candidates’ data that they have obtained from Website/App from loss, misuse, unauthorized access, disclosure, alteration or destruction. Employers shall not charge any fee from the candidates for hiring or placing them in employment.

The Website/App shall not be used for any purpose other than as an employer seeking employees. The Website/App shall not be used for advertising, promotions of products, or services to any candidate; to make unsolicited phone calls or faxes or send unsolicited email, or newsletters to the candidates or to contact any individual unless they have agreed to be contacted (where consent is required or, if express consent is not required, who has not informed you that they do not want to be contacted). Employers are prohibited from charging any fee or collecting any money from the candidates for arranging the interview, selection, placement and offering employment etc. In the event any fee payment is required for the performance of the services related to offering the employment /job and the same should be explicitly mentioned/disclosed by the employers in the relevant job postings /job advertisements on the Qjobs. Employers shall use the candidate data only for job search and employment purposes and shall not replicate or copy or reuse the candidates’ data provided by Qjobs for any other purpose.

8. TERMS RELATED TO JOB ADVERTISEMENTS

Job advertisements shall not contain anything which: a) does not comply with applicable laws including but not limited to laws relating to labor and employment, equal employment opportunity, employment eligibility requirements, data privacy, data access and use, and intellectual property; b) have advertisements for competitors of the Company or post jobs or other content that contains links to any website competitive with the Company; c) is with the intent of sale, promote, marketing or advertise products or services; d) advertise sexual services or seek employees for jobs of a sexual nature; e) endorses a particular political party, political agenda, political position or issue and/or promote a particular religion; f) require the candidate to provide information relating to his/her racial or ethnic origin, political beliefs, philosophical or religious beliefs, membership of a trade union, physical or mental health, or sexual life.

Qjobs allows the employers to create jobs postings on the Website and enables candidates to apply to these job postings the Company does not verify or authenticate the credentials, truthfulness or authenticity, veracity of the said job postings/advertisement information provided at Qjobs. Candidates/Users shall be solely responsible to use and rely on the said information at their sole volition and discretion. Candidates / Users agree to indemnify the Company, its directors, and officials for any loss or damage resulting out of any action or omissions basis the reliance on aforesaid information available on the Website/App.

The Company reserves the right to delete the job postings/advertisements from Qjobs in the event the job postings are misleading, incorrect, deceptive or otherwise not in compliance of these terms or of any compliant thereto. The Company reserves the right to delete the said information at its sole discretion without giving any reason thereof or as may be required under applicable laws for the removal of the same.

Users, candidates and all other concerned indemnifies the Company, its affiliates, directors and officials at any and all times from all losses, liabilities, claims, demands, damages, arising out of the aforesaid provisions on Qjobs and waives and releases the Company, its directors and officials from all claims and demands, if any, with respect to the subject matter hereof.

The Company reserves the right to remove any job advertisement or content from Website/App, which in its sole discretion, does not comply with the above terms, or if any content is posted that it believes is not in its best interest.

9. TERMS APPLICABLE TO CANDIDATES

When You register with the Website/App, You will be asked to create an account on Qjobs and provide certain information. Any Profile You submit must be accurate and describe You, an individual person. You acknowledge and agree that You are solely responsible for the form, content and accuracy of any resume or profile material contained therein placed by You on Website/App. You understand and acknowledge that You have no ownership rights in Your account. The Company reserves the right to delete Your account and all of Your Information after a significant duration of inactivity. You agree that the Company may communicate You the relevant employment related information and updates.

You acknowledge and agree that You are solely responsible for the form, content and accuracy of any resume/profile or material contained therein submitted by You on the Website/App. Employers are solely responsible for their postings/job advertisements on the Website/App. The Company is not to be considered to be an employer with respect to your use of Website/App and the Company shall not be responsible for any employment related decisions, for whatever reason, made by any Employer posting jobs on the Website/App.

10. MOBILE APP SERVICES

If you use the Website/App through a mobile device, You agree that information about Your use of the Website/App through your mobile device and carrier may be communicated to us, including but not limited to your mobile carrier, your mobile device, or your physical location. In addition, use of the Website/App through a mobile device may cause data to be displayed on and through your mobile device. By accessing the Website/App using a mobile device, you represent that to the extent you import any of your data on Website/App into your mobile device that you have authority to share the transferred data with your mobile carrier or other access provider. In the event you change or deactivate your mobile account, you must promptly update your account information to ensure that your messages are not sent to the person that acquires your old number and failure to do so is your responsibility and accountability. You acknowledge that you are responsible for all charges and necessary permissions related to accessing the Website/App through your mobile access provider. By using any downloadable application to enable your use of the Website/App, you are explicitly confirming your acceptance of the terms of the End User License Agreement and the Privacy Policy associated with the Application provided at download or installation, or as may be updated from time to time.

11. NOTIFICATION OF IPR INFRINGEMENT

The Company and all of its associate and affiliated companies respect the intellectual property of others. Any unauthorized reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owner’s rights. As a condition to Your use of Website/App, You agree not to use Website/App to infringe the intellectual property rights of others in any way. The Company will terminate the accounts of any defaulting Users and account holders, and block their access to Website/App who infringe of the copyrights, or other intellectual property rights of others. The Company reserves the right to take these actions at any time, at its sole discretion, with or without notice, and without any liability. 12. OTHER TERMS

Qjobs act as, among other things, venues for employers to post job opportunities and search for and evaluate job candidates and candidates to submit resumes and profiles and search for and evaluate job opportunities. Qjobs does not screen or censor the listings, including profiles offered. The Company is not involved in the actual transaction between employers and candidates. As a result, the Company is not responsible for the quality, safety or legality of the jobs or resumes posted, the truth or accuracy thereof, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings and the Company makes no representations about any jobs, resumes or User Content on Qjobs.

Please note that there are risks of dealing with strangers, or people acting under false pretenses. You assume all risks associated with dealing with other users with whom You come in contact through the Website/App. By its very nature other people’s information may be wrong or inaccurate, and in some cases will be misrepresented or deceptively labeled. The Company suggests that You will use caution and common sense when using the Website/App. As User authentication on the Internet is difficult, the Company cannot and does not confirm that each User is who they claim to be. Because the Company does not and cannot be involved in User-to-User dealings or control the behavior of participants on the Website/App, in the event that You have a dispute with one or more Users, You release the Company (and our agents and employees) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes to the fullest extent permitted by law.

The Website/App content may contain inaccuracies or typographical errors. The Company makes no representations about the accuracy, reliability, completeness, or timeliness of the Website/App and its content. The use of Website/App content is at Your own risk. Changes are periodically made to Website/App and may be made at any time. The Company cannot guarantee and does not promise any specific results from use of the Website/App. To the extent permitted by law, in no event shall the Company be liable for the deletion, loss, or unauthorized modification of any User Content. THE COMPANY DOES NOT WARRANT THAT THE WEBSITE/APP WILL OPERATE ERROR-FREE OR THAT WEBSITE/APP AND ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. THE WEBSITE/APP AND QJOBS CONTENT ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT POSSIBLE BY LAW, COMPANY DOES NOT WARRANT THAT THE WEBSITE/APP OR ANY WEBSITE/APP SERVICES WILL OPERATE ERROR-FREE OR THAT WEBSITE/APP AND ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. THE COMPANY MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE QJOBS CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE AND NON-INFRINGEMENT.

ON A PRECAUTIONARY NOTE, IN THE EVENT ON RECEIPT OF ANY JOB OFFER OR INTERVIEW CALL FOR ANY JOB OFFER IN THE COMPANY OR OTHER BRANDS, THE COMPANY SUGGESTS THAT THE CANDIDATE MAY TAKE SOME MEASURES SUCH AS VISITING THE OFFICIAL WEB SITE TO GET THE CONTACT DETAILS OF THE COMPANY AND OTHER BRANDS AND ENQUIRE WITH THE HUMAN RESOURCES DEPARTMENT OF THE COMPANY / OTHER BRANDS TO VERIFY THE GENUINENESS ABOUT THE INTERVIEW OR OFFER DETAILS AND OTHER RELEVANT INFORMATION.

15. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT POSSIBLE BY LAW, THE COMPANY'S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH WEBSITE/APP OR YOUR USE OF THE QJOBS CONTENT, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), SHALL NOT EXCEED INR 500.

16. LINKS TO OTHER WEBSITES

The Website/App may contain links to third party websites. These links are provided solely as a convenience to You and not as an endorsement by the Company of the contents on such third-party websites. You agree and acknowledge that when you access a third party website, the third party website is not controlled or supervised by the Company and the terms of use and privacy policy of that website you visit will apply. 17. INDEMNITY

You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any User Content or other material You provide to the Website/App, (ii) Your use of any Qjobs Content, and (iii) Your breach of these Terms. The Company shall provide notice to You promptly of any such claim, suit or proceeding

18. GENERAL

You agree not to resell or assign Your rights or obligations under these Terms. You also agree not to make any unauthorized commercial use of the Website/App. Your access to Website/App is at your own risk and You are responsible for compliance with the laws of respective State" jurisdiction as may be applicable to You. These Terms of Use are governed by the laws of India, without respect to its conflict of laws principles. Jurisdiction for any claims arising under these terms shall lie exclusively with the Courts at Bangalore, Karnataka, India. If any provision of these Terms of Use is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms of Use shall be deemed a further or continuing waiver of such term or any other term. Except as expressly provided in an additional agreement, these Terms of Use constitute the entire agreement between You and the Company with respect to the use of Website/App.

20. EFFECT OF TERMS OF USE

These Terms of Use will remain in full force and effect while You are using the Website/App. The Company reserves the right, at its sole discretion, to pursue all of its legal remedies, upon any breach by You of these Terms. The Company may revise these Terms at any time by updating this web page. You should visit this web page periodically to review the updated Terms because the updated Terms are binding on ‘You’.
